1. Swan Properties is a property development company which purchases land for redevelopment. Often they purchase land for the purposes of creating luxury housing. However, the company have found a piece of land which they wish to develop but this time instead of creating new homes they wish to develop the land by building a shopping centre. As this represents a departure from their usual development they decide that they require a certain amount of assistance in promoting the new shopping centre. With this in mind they would prefer to let one of the prime sites within the development to a supermarket, the intention being that customers would come to buy food and then visit the other shops in the shopping centre and spend their money.
To advance this business plan Swan Properties approach Whitby supermarkets to see if they would be interested in letting one of the prime sites on the complex. A representative of Whitby supermarkets comes to see the site and believes that the plot that they are being offered to them would probably ideal. The site has not been completed but it is at a sufficient level of completion for the supermarket to begin to move some their equipment into the unit they intend to rent. After negotiations are completed Whitby has agreed to rent the site from Swan Properties for the first six years of the development.
During a board meeting of the Whitby board they decide that due to their current financial situation they cannot perform their side of the contract with Swan Properties and consequently inform them that they cannot rent their site.
Whitby Supermarkets require your advice concerning the consequences of any breach of contract on their part and what remedies could be ordered against them.
