If an individual is tasked with over seeing day-today operation of a business with little oversight by directors, is it correct to assume they have indirect actual authority as an agent?Citing Hely. Also, in terms of a contract, if a companies constitution states that the directors approval needs to be attained prior to entering into a contract, and the agent does not receive their approval and enters into the contract, does their position as an indirect agent allow them to do so without any repercussion?I am a little confused about the latter one.
