The Binomial Distribution is used when one is interested in the first nth success of repeated experiments.

The Poisson Distribution is used when one is interested in modelling events that occur randomly and independently of other events.

It can also be shown that the Poisson Distribution is a good approximation to the Binomial when n gets very large. This is because of the following result:

Lim(n->infinity) (1 - lambda/n)^(n) = e^(-lambda).
